The role

Corporate legal support on M&A deals, strategic finance matters and other corporate legal matters.

What you'll do

Summary of role

This is an opportunity to join the corporate legal team at Sage, a FTSE 100 technology company, on a 12-month fixed term contract working closely with Corporate Development and Finance. You’ll provide legal advice across M&A transactions, strategic finance and complex intragroup projects, as well as broader corporate and governance matters across the business.

What I will be doing

You’ll provide end-to-end legal support on cross-border M&A transactions, working with the Corporate Development team through due diligence, transaction documentation, and post-acquisition integration. You’ll also partner with Finance on strategic projects including debt facilities, bond issuances and share buybacks.

The role will involve advising on complex intragroup transactions such as restructurings, financing arrangements, dividends, asset transfers and liquidations. You may also be asked to provide corporate governance advice covering the UK Companies Act, Listing Rules, Corporate Governance Code, MAR and directors’ duties.

What we are looking for

We’re looking for an English-qualified lawyer with at least five years’ post-qualification experience and strong cross-border M&A expertise. We’re looking for a lawyer who started their career as a M&A lawyer at a top-tier law firm, but we are open to candidates applying from private practice or in-house roles.

You’ll have experience drafting and reviewing key transaction documents and be comfortable leading M&A transactions.  You’ll bring a solid understanding of corporate law and governance, strong commercial judgement and excellent communication and stakeholder management skills.

Experience working with technology companies or listed companies (whether from private practice or a previous in-house role would be valuable, as would experience of intragroup reorganisations, debt financing, capital markets or share buybacks.

How you'll work

This is a 12month FTC, a hybrid role, 3 days per week from our London office
